This Privacy Policy describes how Otto Systems, Inc. ("GoMotto," "we," "our," or "us") collects, uses, discloses, and protects personal information when you use our website, mobile applications, AI-powered voice and text agents, and all related products and services (collectively, the "Services"). This Privacy Policy applies to all users of our Services, including visitors to our website, customers who subscribe to our platform, authorized users of our customers (such as CSRs, field technicians, and managers), and end users who interact with our AI agents (such as homeowners contacting our customers' businesses).

By accessing or using our Services, you acknowledge that you have read, understood, and agree to the practices described in this Privacy Policy. If you do not agree with any part of this Privacy Policy, please discontinue use of our Services.

Disclosure Regarding Customer Data

This Privacy Policy does not apply to personal information that we process solely on behalf of our business customers ("Customer Data") pursuant to our written agreements with such customers. Our customers' respective privacy policies govern their collection and use of Customer Data. Any questions or requests relating to Customer Data should be directed to the applicable customer. We process Customer Data as a service provider (as defined under the CCPA) and a data processor (as defined under the GDPR) on behalf of our customers.

1. Personal Information We Collect

1.1 Information You Provide to Us Directly

Account and Registration Information

When you create an account or register for our Services, we collect your name, email address, phone number, company name, job title, and billing address.

End User Information

If you are an end user (e.g., a homeowner or customer) that interacts with one of our AI agents via your relationship with a GoMotto customer, we may collect personal information you provide during that interaction, including:

• Your name, email address, and phone number

• Appointment preferences, service requests, and scheduling details

• Audio recordings of your voice communications with the AI agent

• Transcriptions of your voice and text communications with the AI agent

• Any other information you voluntarily provide during the interaction

Payment Information

We may collect personal information and details associated with your purchases, including payment information. Payments are processed by third-party payment processors (e.g., Stripe). We do not directly collect, store, or process payment card numbers, CVVs, or full card details on our servers.

Communications

We collect information you communicate to us through email, in-app messaging, customer support inquiries, feedback forms, surveys, and any other communications channels.

Job Applications

If you apply for a position with us, we collect personal information you provide in connection with your application, such as your name, contact information, resume/CV, work history, and any other information included in your application materials.

1.2 Information Collected Automatically

When you use our Services, we may automatically collect certain information, including:

Device and Technical Information

• IP address, browser type and version, operating system, and device identifiers (e.g., IDFA, IDFV, Android Advertising ID)

• Device model, screen resolution, language settings, and time zone

• Mobile carrier, network type, and connection status

Usage and Analytics Information

• Pages and screens visited, features used, actions taken, and time spent on each page or screen

• Crash logs, performance data, and diagnostic information

• Referring URLs, search terms, and clickstream data

Location Information

• Precise geolocation data: With your explicit permission (via your device's location services), we collect precise GPS-based location data to power our geofenced field recording features. You may revoke this permission at any time through your device settings.

• Approximate location data: We may infer approximate location from your IP address.

Mobile Application Data

If you use our mobile application, we may collect information through device permissions you grant, including:

• Microphone: Used for voice recording during calls and field appointments. We request microphone access only when needed for recording functionality and only with your explicit permission. You will be prompted before the app accesses your microphone, and you may deny or revoke this permission at any time through your device settings without losing access to other app features.

• Location: Used for geofenced field recording and appointment-based features. Collected only when the app is in use, unless you grant background location permission. You will be prompted before the app accesses your location, and you may deny or revoke this permission at any time through your device settings without losing access to other app features.

• Push Notifications: Used to deliver coaching insights, appointment reminders, and system alerts. You will be prompted before notifications are enabled and may disable them at any time through your device settings.

• Camera: If applicable, used for profile photos or document capture. You will be prompted before the app accesses your camera, and you may deny or revoke this permission at any time through your device settings without losing access to other app features.

You may manage all permissions at any time through your device's Settings. Denying or revoking any individual permission will not prevent you from using other features of the app that do not require that permission.

1.3 Information from Third-Party Sources

We may receive personal information about you from third-party sources, including:

• CRM and field service management platforms integrated with our Services (e.g., ServiceTitan, Housecall Pro, Salesforce)

• VoIP and telephony providers

• Analytics and attribution partners

• Publicly available sources

1.4 Cookies and Tracking Technologies

We use cookies, web beacons, pixels, and similar tracking technologies to collect information about your interactions with our website and Services. These technologies help us with:

• Remembering your preferences and login sessions

• Analyzing website traffic and usage patterns

• Measuring the effectiveness of our marketing campaigns

When you visit or log in to our website, cookies and similar technologies may be used by our online data partners or vendors to associate these activities with other personal information they or others have about you, including by association with your email or IP address. We (or service providers on our behalf) may then send communications and marketing to these email addresses. You can typically set your browser to refuse all cookies, accept only first-party cookies, or alert you when a cookie is being set. Please note that disabling cookies may affect the functionality of certain parts of our Services.

2. How We Use Personal Information

2.1 To Provide and Operate the Services

• Communicating with you and your end users via AI voice and text agents

• Scheduling appointments and processing service requests

• Synchronizing data with your CRM, calendar, field service management platform, or other integrated systems

• Processing payments and managing billing

• Generating call and text transcripts, analysis, and coaching insights

• Powering our CSR Coaching Engine, AI Follow-Up Agent, Smart Activation Engine, Executive Dashboard, Rep Profile Cards, and Geofenced Field Recording features

• Providing customer support and responding to your inquiries

• Authenticating your identity and managing your account

2.2 To Improve and Develop the Services

• Developing, training, and improving our AI models using de-identified and aggregated data

• Analyzing usage patterns, diagnosing technical issues, and optimizing performance

• Conducting internal research and development

2.3 To Communicate with You

• Sending transactional communications (e.g., account confirmations, billing notices, security alerts)

• Sending product updates, feature announcements, and educational content related to our Services

• Sending marketing and promotional communications (where permitted by law and with your consent where required)

2.4 For Safety, Security, and Legal Compliance

• Detecting, investigating, and preventing fraud, abuse, and security incidents

• Complying with applicable laws, regulations, legal processes, and government requests

• Enforcing our Terms of Service and other agreements

• Protecting the rights, property, and safety of GoMotto, our customers, and the public

3. How We Disclose Personal Information

We may disclose personal information to the following categories of recipients:

Service Providers and Processors

We share personal information with third-party service providers who perform services on our behalf, including cloud hosting and infrastructure, analytics, customer support tools, email delivery, IT support, and AI/LLM platforms. These service providers are contractually obligated to use personal information only for the purposes of providing services to us and are required to maintain the confidentiality and security of such information consistent with this Privacy Policy and applicable law.

Third-Party AI and Large Language Model Providers

Our Services use third-party artificial intelligence and large language model ("LLM") providers to power our AI voice agents, text agents, coaching features, call analysis, and related functionality. In connection with these features, certain personal information (including call recordings, transcripts, text communications, and related metadata) may be transmitted to and processed by third-party AI providers. We require all third-party AI providers to maintain confidentiality and security protections for personal information that are the same as or equivalent to those described in this Privacy Policy. We do not permit third-party AI providers to use your personal information for their own training, marketing, or other purposes unrelated to providing services to GoMotto. Before any personal information is transmitted to a third-party AI provider through the app, you will be asked to provide explicit consent through an in-app prompt. You may revoke this consent at any time through the app's Settings. Revoking consent for AI data sharing may limit or disable AI-powered features of the Service, but will not affect your access to non-AI features.

Third-Party Integrations

Our Services integrate with third-party applications, services, and platforms as directed by our customers, including CRMs and field service management tools such as ServiceTitan, Housecall Pro, Salesforce, and others. Any personal information disclosed to a third-party integration will be subject to that third party's privacy policy. We are not responsible for the privacy practices of third-party services.

GoMotto's Customers (End User Data)

If you are an end user that interacts with our AI agent acting on behalf of a GoMotto customer, we disclose the personal information collected during that interaction to the GoMotto customer you have a relationship with. That customer's privacy policy governs their use of your personal information. We are not responsible for the customer's processing of your personal information.

GoMotto's Customers (Authorized Users)

If you use our Services as an employee, contractor, or authorized user of a GoMotto customer, that customer may access information associated with your use of the Services, including usage data, call recordings, field recordings, coaching analytics, and communications. Your personal information may also be subject to that customer's own privacy policy.

Business Partners

We may disclose your personal information to business partners with whom we jointly offer products or services, such as distribution partners and co-selling partners.

Affiliates

We may disclose your personal information to our corporate affiliates for purposes consistent with this Privacy Policy.

Legal Compliance and Protection

We may disclose personal information where we believe it is necessary to comply with applicable law, regulation, or legal process; respond to lawful requests from public authorities (including law enforcement or national security); protect the rights, property, or safety of GoMotto, our customers, or others; or enforce our agreements.

Business Transfers

We may disclose or transfer personal information in connection with, or during negotiations of, any merger, acquisition, sale of assets, financing, bankruptcy, or reorganization of all or a portion of our business.

With Your Consent

We may disclose your personal information for other purposes with your consent or at your direction.

We do not sell your personal information. We do not sell personal information as the term "sell" is defined under the CCPA or any other applicable privacy law. We also do not "share" personal information for cross-context behavioral advertising as defined under the CCPA.

4. Third-Party SDKs and Services in Our Mobile Application

Our mobile application may incorporate third-party software development kits (SDKs) and services that collect information from your device. These may include:

• Analytics Providers: We use analytics tools (e.g., Google Analytics, Firebase Analytics, Mixpanel, or similar) to understand app usage patterns, measure performance, and diagnose issues.

• Crash Reporting: We use crash reporting tools (e.g., Firebase Crashlytics, Sentry, or similar) to collect diagnostic data when the app experiences errors.

• Cloud Infrastructure: We use cloud services (e.g., AWS, Google Cloud) for data storage, processing, and delivery of our Services.

• Push Notifications: We use notification services (e.g., Firebase Cloud Messaging, Apple Push Notification Service) to deliver push notifications.

• AI and Language Model Providers: We use third-party AI and large language model platforms to power our AI agent, coaching, call analysis, and related features. These providers process call recordings, transcripts, text communications, and related data on our behalf. You will be asked to provide explicit, separate consent before any personal information is transmitted to these providers through an in-app prompt.

All third-party service providers with whom we share user data are contractually required to provide the same or equivalent level of protection of user data as stated in this Privacy Policy and as required by Apple's App Store Review Guidelines and applicable law. Third-party AI providers are specifically prohibited from using your personal information for their own training, marketing, or other purposes unrelated to providing services to GoMotto.

Note: The specific SDKs and services listed above are representative and may be updated from time to time. Please contact us at Team@gomotto.com for the most current list of third-party SDKs in our application.

5. SMS/Text Messaging

Our AI agents may send and receive SMS/text messages with end users on behalf of our customers.

Data Collection

We collect phone numbers, message content, timestamps, and opt-out requests associated with SMS communications.

Customer Responsibility

Our customers are solely responsible for ensuring compliance with the Telephone Consumer Protection Act (TCPA) and all applicable federal and state laws, including obtaining required prior express consent from end users before initiating messaging.

Opt-In Data Protection

SMS opt-in data and consent information will not be shared with third parties for marketing or promotional purposes.

Opt-Out Handling

End users may opt out of SMS communications at any time by replying STOP to any message. We automatically suppress future messages to opted-out numbers. End users may also text HELP for assistance.

6. Voice Recording

Our platform records voice communications in the following contexts:

• Communications between end users and our AI voice agents

• Call center calls handled by customer service representatives (CSRs)

• Field appointments and on-site interactions captured via geofenced recording

These recordings power GoMotto's Call and Text Analysis, CSR Coaching Engine, and Geofenced Field Recording features. Recordings are transcribed, analyzed, and used to generate coaching insights and performance analytics.

In connection with these features, call recordings and transcripts may be transmitted to third-party AI and LLM providers for processing. Users will be asked to provide explicit consent for this data sharing through an in-app prompt before any recordings are transmitted to third-party AI providers.

Recording Consent: Our customers are responsible for ensuring compliance with all applicable federal and state recording consent laws in their jurisdictions, including one-party and two-party consent requirements. GoMotto provides tools and configurable settings to support customers in meeting their consent obligations, but compliance remains the customer's responsibility.

7. Data Retention

We retain personal information only for as long as reasonably necessary to fulfill the purposes described in this Privacy Policy, unless a longer retention period is required or permitted by law. Specific retention practices include:

• Account Information: Retained for the duration of your account and for a reasonable period thereafter to comply with legal obligations, resolve disputes, and enforce agreements.

• Call and Field Recordings: Retained in accordance with our customer agreements and applicable law. Default retention periods are specified in individual customer contracts.

• Analytics and Usage Data: Retained in de-identified or aggregated form for product improvement purposes.

• Customer Data: Retained based on contractual agreements. Following termination of a customer agreement, Customer Data will be available for export for 30 days, after which it will be securely deleted unless retention is required by law.

• Marketing Data: Retained until you opt out or withdraw consent, or until we determine the data is no longer needed for marketing purposes.

When personal information is no longer needed, we securely delete or de-identify it using commercially reasonable methods.

8. Data Security

We implement and maintain reasonable administrative, technical, and physical safeguards designed to protect personal information from unauthorized access, disclosure, alteration, or destruction. Our security measures include:

• Encryption of data in transit (TLS/SSL) and at rest

• Role-based access controls and multi-factor authentication

• Regular security assessments and vulnerability testing

• Employee training on data protection and security practices

• Incident response procedures for security breaches

Despite our efforts, no method of transmission over the internet or method of electronic storage is 100% secure. We cannot guarantee absolute security of your personal information.

9. Your Privacy Rights

Depending on your jurisdiction, you may have certain rights regarding your personal information. We are committed to honoring your rights under applicable law.

9.1 Rights for All Users

Regardless of where you are located, you may:

• Access: Request information about what personal information we have collected about you and obtain a copy of that information.

• Correction: Request that we correct inaccurate personal information we maintain about you.

• Deletion: Request that we delete personal information we have collected about you, subject to certain legal exceptions.

• Opt-Out of Marketing: Opt out of receiving marketing and promotional communications from us at any time by following the unsubscribe instructions in those communications or by contacting us.

9.2 California Residents (CCPA/CPRA)

If you are a California resident, you have additional rights under the California Consumer Privacy Act, as amended by the California Privacy Rights Act:

• Right to Know: You may request that we disclose the categories and specific pieces of personal information we have collected about you, the categories of sources, the business or commercial purposes for collection, and the categories of third parties with whom we have disclosed your personal information.

• Right to Delete: You may request that we delete personal information we have collected from you, subject to certain exceptions.

• Right to Correct: You may request that we correct inaccurate personal information.

• Right to Opt-Out of Sale/Sharing: We do not sell or share your personal information for cross-context behavioral advertising. If this practice changes, we will update this Privacy Policy and provide a "Do Not Sell or Share My Personal Information" link.

• Right to Limit Use of Sensitive Personal Information: You may direct us to limit our use of sensitive personal information (such as precise geolocation) to only what is necessary to provide the Services.

• Right to Non-Discrimination: We will not discriminate against you for exercising any of your CCPA rights.

We will verify your identity before processing your request and respond within 45 days (or up to 90 days with notice if additional time is needed). You may also designate an authorized agent to submit a request on your behalf.

9.3 European Economic Area, UK, and Swiss Residents (GDPR)

If you are located in the European Economic Area (EEA), the United Kingdom, or Switzerland, you have additional rights under the General Data Protection Regulation (GDPR) or equivalent legislation:

• Legal Basis for Processing: We process your personal data based on one or more of the following legal bases: (a) your consent; (b) performance of a contract with you; (c) compliance with a legal obligation; or (d) our legitimate interests (such as improving our Services, preventing fraud, and ensuring security), provided such interests are not overridden by your rights.

• Right to Access: You may request a copy of the personal data we hold about you.

• Right to Rectification: You may request correction of inaccurate or incomplete personal data.

• Right to Erasure: You may request deletion of your personal data in certain circumstances.

• Right to Restrict Processing: You may request that we restrict processing of your personal data in certain circumstances.

• Right to Data Portability: You may request to receive your personal data in a structured, commonly used, and machine-readable format.

• Right to Object: You may object to processing based on our legitimate interests.

• Right to Withdraw Consent: Where processing is based on consent, you may withdraw consent at any time without affecting the lawfulness of prior processing.

9.4 Other U.S. State Privacy Rights

Residents of other U.S. states with comprehensive privacy laws (including but not limited to Virginia, Colorado, Connecticut, Utah, Texas, Oregon, Montana, and others) may have similar rights to access, correct, delete, and opt out of certain processing of their personal information. 9.5 End User Requests

If you are an end user and wish to exercise rights regarding personal information we process on behalf of a GoMotto customer, please direct your request to the applicable customer. If the customer directs us to assist with your request, we will do so in accordance with applicable law.

9.6 Account Deletion

You may request deletion of your account and associated personal information at any time by using the account deletion feature within the app (accessible in Settings > Account > Delete Account). You may also contact us at Team@gomotto.com to request account deletion. Upon receiving a verified deletion request, we will delete or de-identify your personal information within 45 days, unless retention is required by law or for legitimate business purposes as permitted under applicable law. The in-app account deletion process will clearly inform you of the consequences of deletion, including loss of access to your data, and will allow you to confirm your intent before deletion is processed.

10. International Data Transfers

Your personal information may be transferred to, stored in, and processed in the United States or other countries where our service providers operate. These countries may have data protection laws that differ from those in your jurisdiction. When we transfer personal information internationally, we implement appropriate safeguards to protect your information, including standard contractual clauses approved by relevant authorities or other lawful transfer mechanisms.

11. Children's Privacy

Our Services are not directed to, and we do not knowingly collect personal information from, individuals under the age of 18 (or such other age as may be specified by applicable local law). If we become aware that we have inadvertently collected personal information from a child under the applicable age threshold, we will take steps to delete such information promptly. 12. Do Not Track and Global Privacy Control

Some web browsers transmit "Do Not Track" (DNT) signals. Because there is no common industry standard for DNT, we do not currently respond to DNT signals. However, we honor Global Privacy Control (GPC) signals as a valid opt-out of the sale or sharing of personal information where required by applicable law, including the CCPA.

13. Third-Party Links and Services

Our Services may contain links to third-party websites, applications, or services that are not operated or controlled by us. This Privacy Policy does not apply to such third-party services. We encourage you to review the privacy policies of any third-party services you access through our Services.

14. Consent for AI Data Processing

GoMotto's Services rely on third-party AI and large language model providers to deliver core functionality, including AI voice agents, text agents, call and text analysis, CSR coaching, and related features. Because these features involve transmitting personal information to third-party AI providers, we obtain your explicit consent before any such transmission occurs.

In-App Consent Prompt: When you first use an AI-powered feature of the Service (or when we introduce a new AI provider or a new category of AI data sharing), you will be presented with a clear in-app prompt that: (a) identifies the categories of personal information that will be shared; (b) describes the third-party AI providers that will receive the data; (c) explains the purposes for which the data will be processed; and (d) provides you with a clear choice to consent or decline.

Granular Consent: Consent for AI data sharing is separate from any other consent or permission request. It is not bundled with account creation, general terms acceptance, or other permission flows.

Ongoing Control: You may review and revoke your consent for AI data sharing at any time through the app's Settings > Privacy > AI Data Sharing. Revoking consent will disable AI-powered features but will not affect your access to non-AI features of the Service.

No Retroactive Processing: We will not transmit personal information to third-party AI providers until consent has been obtained. Consent must be provided before any data transmission occurs.

15. Changes to This Privacy Policy

We may update this Privacy Policy from time to time to reflect changes in our practices, technologies, legal requirements, or other factors. When we make material changes, we will notify you by posting the updated Privacy Policy on our website and updating the "Last Updated" date at the top of this page. Where required by law, we will provide additional notice (such as via email or in-app notification). We encourage you to review this Privacy Policy periodically.
